From time to time, Profify Inc. ("Profify", "we", "our") may offer special promotions, discounts, referral bonuses, loyalty rewards, or other promotional plans ("Promotion") to students, tutors, coaches, and other users of the Profify Platform ("you", "your").

The terms and conditions for each Promotion may vary by Promotion type, user category, or province. We encourage you to carefully review the specific terms accompanying each Promotion. If no specific terms accompany a Promotion, or if the Promotion directs you to this page, the following terms and conditions apply. In the event of any conflict between the terms stated in the Promotion and this page, the Promotion-specific terms govern.

These Promotional Terms & Conditions are incorporated into, and form part of, the Profify Terms of Service. By participating in any Promotion, you agree to be bound by these terms and the Profify Terms of Service.

1. ELIGIBILITY

Promotion eligibility is determined by Profify at its sole discretion. General eligibility requirements include:

·       You must have a valid, active Profify account in good standing.

·       You must have accepted and be in compliance with the Profify Terms of Service and all applicable policies.

·       You must meet any additional eligibility criteria specified in the individual Promotion (e.g., new users only, specific provinces, first purchase only).

Profify reserves the right to verify eligibility at any time and to revoke a Promotion and place your account on hold if you are found to be ineligible. Eligibility requirements will be disclosed at the time of sign-up or as otherwise communicated by Profify.

2. GENERAL TERMS APPLICABLE TO ALL PROMOTIONS

Unless stated otherwise in the specific Promotion terms, the following conditions apply to all Promotions offered by Profify:

2.1 Redemption

·       Promotions are only valid for purchases made through the Profify Platform at profify.ca or via the Profify mobile application.

·       Promotions may only be redeemed by the individual to whom they are issued. They are non-transferable.

·       Promotions cannot be combined with other offers, discounts, or promotional codes unless expressly stated.

·       Each Promotion is limited to one use per account, unless it is a recurring reward (e.g., a loyalty points program).

·       Profify is not responsible for failed, invalid, or non-compliant Promotion redemption attempts, which will not be honoured.

2.2 Expiry

·       Some Promotions have a redemption expiry date, which will be stated in the accompanying Promotion terms. Promotions that are not redeemed before their expiry date will automatically become invalid.

·       Points or rewards earned through a loyalty or rewards-based Promotion do not expire while the Promotion is active, unless otherwise specified.

·       Profify credits, discounts, or bonuses tied to a Promotion expire upon account deletion, account suspension for policy violation, or account inactivity exceeding 180 days.

2.3 Cash Value & Transferability

·       Promotions have no cash value and are not redeemable for cash unless explicitly stated.

·       Promotions may not be resold, gifted, transferred, or bartered.

·       Promotional credits may only be applied toward purchases made through the Profify Platform.

2.4 Refunds on Promotional Purchases

·       If you request a refund for a purchase made using a Promotion, your refund will be equal to the amount you actually paid out of pocket, not the full promotional value. The Promotion itself (e.g., a discount or bonus session) is non-refundable.

·       Refunds on promotional purchases are subject to the Profify Refund and Payment Policy.

·       Profify reserves the right to recover the value of any Promotion applied to a purchase that subsequently results in a chargeback or fraudulent transaction.

2.5 Third-Party Promotions

·       If you received a Promotion directly or indirectly through a third party (e.g., an affiliate, partner, or referrer), that third party also reserves the right to modify or cancel the offer at any time.

·       Profify is not responsible for any Promotions offered by third parties and does not guarantee the availability or validity of third-party offers.

3. REFERRAL PROGRAM

Profify may offer a referral program allowing existing users to invite new users to the platform in exchange for credits, discounts, or other incentives ("Referral Bonus").

·       Referral links are personal and may only be redeemed by individuals who are new to Profify and have never previously held a Profify account.

·       Each referral link may only be redeemed once by the referred individual.

·       A Referral Bonus will only be issued once the referred user completes a qualifying action (e.g., makes their first purchase), as specified in the referral program terms.

·       Referral Bonuses are subject to verification. Profify reserves the right to withhold or revoke a Referral Bonus if the referral is found to be invalid, fraudulent, or in violation of these terms.

·       Referral Bonuses are valid for the period stated in the referral program terms and expire as described in Section 2.2.

·       Self-referrals (creating a new account to refer yourself) are strictly prohibited and may result in account suspension.

4. LOYALTY & REWARDS PROGRAMS

Profify may operate loyalty or rewards programs where users earn points or credits for sessions taken or other qualifying activities on the platform.

·       Points or rewards are earned in accordance with the rules of the applicable program and are displayed in your Profify account.

·       Points do not expire while the rewards program is active, unless otherwise specified.

·       Points have no cash value and cannot be transferred or redeemed for cash.

·       Profify reserves the right to modify, suspend, or discontinue the rewards program at any time, with reasonable notice to participants.

5. CANADIAN CONSUMER PROTECTION

Profify complies with applicable Canadian consumer protection legislation, including the Consumer Protection Act (Ontario) and equivalent provincial legislation. Nothing in these Promotional Terms limits or excludes any rights you may have under applicable Canadian law.

In particular:

·       Promotions advertised to Canadian consumers will clearly disclose all material conditions, including eligibility, expiry dates, and restrictions, as required under applicable Canadian advertising standards and consumer protection law.

·       Promotional pricing and discounts displayed at checkout will accurately reflect the final price payable by you, inclusive of applicable taxes (GST/HST and provincial taxes).

·       Profify will not engage in misleading or deceptive promotional practices as prohibited under the Competition Act (Canada).

6. MODIFICATIONS AND CANCELLATION

Profify reserves the right to modify, suspend, or cancel any Promotion at any time, for any reason, with or without notice. In the event a Promotion is cancelled or modified after you have already redeemed it, your existing redemption will be honoured to the extent reasonably practicable.

Profify also reserves the right to disqualify any user from a Promotion if it determines, in its sole discretion, that the user has acted in bad faith, attempted to manipulate or abuse the Promotion, or otherwise violated these terms or the Profify Terms of Service.

7. GOVERNING LAW

These Promotional Terms & Conditions are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising out of or relating to a Promotion will be resolved in accordance with the dispute resolution provisions in the Profify Terms of Service.
