Please read these Terms of Service ("Terms") carefully before using the Profify platform and/or Services. By creating an account or using profify.ca, you enter into a legally binding agreement with Profify Inc., a corporation incorporated under the laws of the Province of Ontario, Canada. If you do not accept these Terms, you must not access or use the Profify platform.

1. GENERAL INFORMATION

1.1 Terms of Service

These Terms govern your access to and use of profify.ca, including all subdomains, the Profify mobile application, and related software (collectively, the "Profify Platform").

Use of the Services is subject to these Terms and all other rules, policies, and guidelines published on the Profify Platform, including the Privacy Policy, Cookie Policy, User Code of Conduct, and Refund and Payment Policy.

By creating an account, you confirm that you have read, understood, and agree to be bound by these Terms. We may update these Terms at any time. Material changes will be communicated by email and by posting the revised Terms on this page. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms.

1.2 Profify Services

You may access the Profify Platform as: (a) a registered student seeking tutoring or coaching services ("Student"); (b) a registered tutor or coach providing services through the platform ("Tutor/Coach"); or (c) a visitor browsing the platform without registration.

Profify provides a technology marketplace that connects Students with Tutors/Coaches, facilitates payments, and delivers customer support. Profify does not itself provide tutoring or coaching services. All services are offered by independent Tutors/Coaches in accordance with these Terms.

You are responsible for obtaining and maintaining any equipment and internet connectivity necessary to use the Services. Profify may modify, suspend, or discontinue the platform at any time, with or without notice.

1.3 Amendments to These Terms

Profify reserves the right to amend these Terms at any time. Revised Terms will be posted on the platform and you will be notified via email in the case of material changes. If you do not agree with the amended Terms, you may close your account at any time. Continued use of the Services after any amendment constitutes your acceptance of the updated Terms.

2. ELIGIBILITY & OBLIGATIONS

2.1 Eligibility

The Services are available to individuals who are 18 years of age or older and capable of entering into a legally binding contract under applicable Canadian law. Individuals aged 13 to 17 may use the Services only with the consent of, and under the ongoing supervision of, a parent or legal guardian, who shall be fully responsible for the minor's use of the platform.

You agree not to allow any individual under the age of 13 to access or use the Services under any circumstances.

2.2 Tutor/Coach Verification

Profify may require Tutors/Coaches to submit a government-issued photo ID (such as a passport or driver's licence) and documentation supporting their claimed qualifications (e.g., diplomas, certificates, professional designations). Upon successful verification, a badge will be added to the Tutor/Coach profile, and uploaded documents will be deleted from our servers.

Profify does not independently verify or endorse the accuracy of any credentials submitted. Users assume all risks associated with engaging other users of the platform.

2.3 Background Checks

Profify may engage third-party service providers to conduct background checks (including criminal record checks) on Tutors/Coaches, in compliance with applicable Canadian privacy law and with the consent of the individual. Profify does not guarantee the accuracy or completeness of any such reports and shall not be liable for any errors or omissions therein.

2.4 Privacy

Your use of the Profify Platform is subject to our Privacy Policy and Cookie Policy. By using the Services, you consent to the collection and use of your personal data as described in those policies, in accordance with Canada's PIPEDA and applicable provincial legislation.

2.5 Payments

Payment processing on the Profify Platform is facilitated by third-party payment processors, including Stripe. Profify does not directly process or store your payment card information. Payment made by a Student through the platform satisfies the Student's payment obligation to the Tutor/Coach for services rendered. Please refer to our Refund and Payment Policy for full details.

2.6 Refunds

Profify aims to ensure clear and fair financial arrangements between Students and Tutors/Coaches. Please review our Refund and Payment Policy for full details. Any refunds are subject to that policy and, to the extent permitted by applicable Canadian consumer protection law, are at Profify's reasonable discretion.

3. RIGHTS AND LIMITS

3.1 Licence to Use the Platform

Profify grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Profify Platform in accordance with these Terms:

·       Students may use the platform for personal, non-commercial purposes to find and engage Tutors/Coaches.

·       Tutors/Coaches may use the platform to offer and provide tutoring or coaching services to Students.

You may not use automated tools (bots, scrapers, crawlers, or spiders) to access, copy, or extract data from the Profify Platform without Profify's prior written authorization. All rights not expressly granted are reserved.

3.2 Your Account

Certain features require a registered account. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You must notify Profify immediately at support@profify.ca if you suspect any unauthorized use of your account.

You may not create more than one account per user type (one Student and one Tutor/Coach account), share your account credentials, or transfer your account to another party. You may register using a third-party service (such as Google), in which case we may receive certain information from that provider as described in our Privacy Policy.

3.3 Direct Interactions

Profify does not actively participate in interactions between Students and Tutors/Coaches, except where necessary to enforce these Terms, improve the Services, or as required under our Refund and Payment Policy. Profify does not control the content or quality of sessions provided by Tutors/Coaches and is not responsible for the conduct of any user.

3.4 Representations and Warranties

Tutor/Coach-Specific Representations. By offering services as a Tutor/Coach, you represent and warrant that:

a.  You will deliver your services in a professional manner, with reasonable care and skill, and in accordance with all applicable Canadian laws and professional standards;

b.  You hold all required registrations, certifications, licences, and qualifications for the services you offer, and you will maintain their validity;

c.  You will not provide services to Students outside of the Profify Platform, or solicit or accept direct payment from Students for services arranged through the platform;

d.  You acknowledge that Profify may promote your profile and services on the platform and through marketing channels, as permitted by your profile settings and these Terms.

Student-Specific Representations. By using the Services as a Student, you represent and warrant that:

a.  You will honour your confirmed bookings and commitments to Tutors/Coaches;

b.  You will not circumvent the fee or billing structure of the Profify Platform;

c.  You will engage with Tutors/Coaches honestly and in good faith.

3.5 Tutor/Coach Profile & Promotional Materials

Tutors/Coaches grant Profify a non-exclusive licence to use their name, profile photo, and introduction video for promotional and marketing purposes on the platform and associated channels (e.g., social media), to increase visibility and connect them with Students. You may request removal of any promotional materials by contacting support@profify.ca.

3.6 Tutor/Coach Ranking

The order in which Tutor/Coach profiles are displayed to Students is determined by Profify's ranking algorithm, which may consider factors including:

·       The subject or type of coaching being searched

·       Student location and time zone compatibility

·       Tutor/Coach availability and responsiveness

·       Student reviews, ratings, and session history

·       Profile completeness, photo quality, and introduction video

·       Past performance and student success outcomes

3.7 Complaints

If you have a complaint about the Services, please contact Profify at support@profify.ca with the subject line "Formal Complaint" and provide as much detail as possible. Profify will acknowledge receipt and investigate the matter, responding with its findings and, where applicable, a proposed resolution.

3.8 Referral Program

Registered users may invite others to join Profify through a personalized referral link. Referral eligibility, discount amounts, and bonus conditions are determined by Profify at its sole discretion and may change from time to time. Credits and referral bonuses are non-transferable, have no cash value (unless specified), and expire as described in the applicable program terms.

3.9 User Code of Conduct

All users must comply with the Profify User Code of Conduct at all times while using the Services.

4. PROFIFY CONTENT

All content created by Profify and made available through the platform ("Profify Content") — including text, graphics, software, logos, and data — is the property of Profify Inc. and/or its licensors, and is protected under the Copyright Act (Canada) and applicable intellectual property law.

You may view, download, or print Profify Content for your personal, non-commercial use only, provided that you do not modify the content or remove any copyright, trademark, or proprietary notices. No other use is permitted without Profify's prior written consent.

5. USER-GENERATED CONTENT

"User-Generated Content" means any text, feedback, reviews, photos, videos, messages, or other material that you submit to or post on the Profify Platform.

You are solely responsible for your User-Generated Content and represent that it does not infringe any third-party intellectual property rights, violate any applicable law, or breach these Terms. You grant Profify a non-exclusive, royalty-free, worldwide licence to use, display, and distribute your User-Generated Content to the extent necessary to operate and improve the Services.

Profify is not obligated to monitor User-Generated Content but reserves the right to remove any content that violates these Terms or applicable law. If you believe any content infringes your intellectual property rights, please contact support@profify.ca.

Tutor/Coach Materials. Tutors/Coaches retain ownership of any original lesson plans, worksheets, and teaching resources they create. By sharing these materials through the platform, you grant Profify and the relevant Student the right to access and use those materials solely for the purpose of delivering and receiving the booked session.

6. THIRD-PARTY LINKS

The Profify Platform may contain links to third-party websites. These links are provided for convenience only. Profify is not responsible for the content, privacy practices, or terms of any third-party website. Use of third-party websites is at your own risk and subject to those sites' own terms and policies.

7. ADVERTISING

Profify may display third-party advertisements on the platform. Any dealings between you and a third-party advertiser are solely between you and that advertiser. Profify is not responsible for any loss or damage arising from such dealings. Profify may also promote Tutor/Coach profiles through external advertising channels to generate more Student leads.

8. NO ENDORSEMENTS

Any reference to a third party, product, or service on the Profify Platform does not constitute an endorsement or recommendation by Profify. You are responsible for exercising your own judgment when engaging with third-party providers or content.

9. RELATIONSHIP BETWEEN PROFIFY AND USERS

Profify is a technology intermediary that connects Students with independent Tutors/Coaches. Profify does not itself provide tutoring or coaching services and does not function as a school, educational institution, or employer.

Tutors/Coaches are independent contractors, not employees, agents, or representatives of Profify. Tutors/Coaches are solely responsible for complying with all applicable tax obligations (including GST/HST registration where required), and for any costs or liabilities arising from their services.

Profify shall not be liable for any payroll deductions, employment insurance, Canada Pension Plan contributions, workplace safety insurance, or other statutory obligations in relation to Tutors/Coaches.

10. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms to any third party without Profify's prior written consent. Profify may assign its rights and obligations under these Terms without restriction.

11. FEEDBACK

If you submit feedback, suggestions, or ideas about the Profify Platform or Services, you grant Profify a perpetual, worldwide, royalty-free, irrevocable licence to use, reproduce, modify, and distribute your feedback for any purpose without compensation or attribution to you. Profify is under no obligation to act on any feedback submitted.

12. REVIEWS & RATINGS

Students may leave reviews and ratings for Tutors/Coaches after sessions. Profify may publish a composite rating based on these reviews. Reviews represent the personal opinions of individual users and do not reflect the views of Profify. Profify reserves the right to remove reviews that violate these Terms or the User Code of Conduct. Users may be held legally responsible for defamatory statements made in reviews.

13. NOTIFICATIONS

Profify will communicate with you by email, through the platform, or by regular mail. You consent to receive electronic communications from Profify, which satisfy any applicable written notice requirements. You are responsible for keeping your contact information up to date in your account settings.

To update your communication preferences, contact support@profify.ca or adjust your notification settings in your account. All legal notices to Profify must be sent in writing to: Profify Inc., 111 Elizabeth Street, Toronto, ON M5G 1P7, Canada.

14. TERMINATION

Profify may suspend or terminate any user's access to the platform:

a.  Immediately, for any material breach of these Terms, including violations of the User Code of Conduct;

b.  For cause, including but not limited to harassment, fraud, misrepresentation, or provision of false credentials;

c.  Upon 30 days' written notice for any other reason.

If your account is terminated due to a breach of these Terms, you will not be entitled to a refund for any unused sessions or credits, and Profify may withhold any remaining account balance as liquidated damages.

Accounts inactive for more than 180 days may be suspended and any remaining balance may expire. You may close your own account at any time by contacting support@profify.ca.

15. INTELLECTUAL PROPERTY

All intellectual property rights in the Profify Platform, including its design, software, trademarks, logos, and content, are owned by Profify Inc. and/or its licensors, and are protected under the Copyright Act (Canada), the Trade-marks Act (Canada), and other applicable intellectual property laws.

You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Profify Platform without Profify's prior written consent. The Profify name and logo are registered or common law trademarks of Profify Inc. and may not be used without permission.

16. COPYRIGHT INFRINGEMENT — NOTICE & NOTICE REGIME

Profify respects intellectual property rights and complies with Canada's Notice and Notice regime under the Copyright Act (Canada). If you believe that any content on the Profify Platform infringes your copyright, please notify us in writing at support@profify.ca with the following information:

a.  Your name, mailing address, telephone number, and email address;

b.  Identification of the copyrighted work you claim has been infringed;

c.  The specific location on profify.ca of the allegedly infringing content;

d.  A statement that you have a good faith belief the use is not authorized by the rights holder, its agent, or by law;

e.  A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Profify will respond promptly to valid notices and may terminate the accounts of repeat infringers.

17. CONFIDENTIALITY

In using the Profify Platform, you may have access to confidential information belonging to Profify or other users, including personal data, business information, and proprietary content. You agree to hold all such information in strict confidence and use it only as necessary to receive or provide Services under these Terms. This obligation does not apply to information that is publicly known, independently developed by you, or required to be disclosed by law.

18. DISCLAIMER OF WARRANTIES

The Profify Platform and all Services are provided "as is" and "as available" without any warranty of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable Canadian law.

Profify does not warrant that the platform will be error-free, uninterrupted, or free of harmful components. Profify does not verify or guarantee the accuracy of Tutor/Coach credentials, qualifications, or the quality of services provided. You use the Services at your own risk.

19. LIMITATION OF LIABILITY

19.1 General Limitation

To the maximum extent permitted by applicable Canadian law, Profify, its affiliates, officers, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Profify Platform or Services.

19.2 Cap on Liability

Profify's total cumulative liability to you in connection with these Terms or the Services shall not exceed the amounts you paid to Profify in the three (3) months immediately preceding the event giving rise to the claim.

19.3 Consumer Protection

Nothing in these Terms is intended to limit or exclude any rights you may have under applicable Canadian consumer protection legislation, including the Consumer Protection Act (Ontario) or equivalent provincial legislation, which cannot be waived by contract.

20. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Profify Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and costs (including reasonable legal fees) arising from: (a) your use or misuse of the Services; (b) your violation of these Terms; (c) your User-Generated Content; (d) your interactions with other users; (e) your infringement of any third-party rights; or (f) your violation of any applicable law.

21. DISPUTE RESOLUTION

21.1 Informal Resolution

Before initiating any formal legal proceedings, you and Profify agree to first attempt to resolve any dispute through good faith informal negotiation. To initiate this process, send a written notice to support@profify.ca describing the nature of the dispute and the relief sought. The parties will have sixty (60) days to attempt to resolve the matter informally.

21.2 Mediation

If the dispute is not resolved through informal negotiation, either party may request mediation through a mutually agreed Canadian mediation service before pursuing litigation. Costs of mediation shall be shared equally unless otherwise agreed.

21.3 Governing Courts

If the dispute remains unresolved after mediation, either party may bring a claim before the courts of the Province of Ontario, Canada. You and Profify consent to the exclusive jurisdiction of the courts of Ontario for the resolution of any such disputes.

Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

22. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

23. NON-SOLICITATION

You may not use the Profify Platform to solicit users for any business, service, or activity unrelated to the Services. You may not collect usernames, email addresses, or other personal information from other users for purposes outside the platform without Profify's prior written consent.

24. EXPORT & SANCTIONS COMPLIANCE

Profify complies with Canadian export controls and economic sanctions administered by Global Affairs Canada. You may not use the Services if you are located in, or are a resident or national of, any country or territory subject to Canadian sanctions, or if you are listed on any applicable Canadian government restricted party list.

25. LIQUIDATED DAMAGES

The parties acknowledge that amounts withheld under Section 14 of these Terms represent a genuine pre-estimate of loss arising from a material breach and shall constitute liquidated damages, not penalties. This is in addition to any other rights or remedies available to Profify under applicable law.

26. ENTIRE AGREEMENT & SEVERABILITY

These Terms, together with the Privacy Policy, Cookie Policy, User Code of Conduct, and Refund and Payment Policy, constitute the entire agreement between you and Profify regarding the Services and supersede all prior agreements and understandings. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
