PROFIFY SUBSCRIPTION SERVICES TERMS

These Subscription Services Terms ("Subscription Terms") govern your purchase and use of Profify's fee-based subscription plans. By subscribing, you enter into a legally binding agreement with Profify Inc., a corporation incorporated under the laws of the Province of Ontario, Canada. These Subscription Terms supplement and form part of Profify's Terms of Service. In the event of any conflict, these Subscription Terms prevail.
1. DEFINITIONS
The following terms apply throughout these Subscription Terms:
· Profify Platform — The technology platform operated by Profify Inc. at profify.ca, including the website, mobile application, and related tools, enabling Students to connect with and book sessions with Tutors/Coaches.
· Profify Classroom — The integrated video conferencing and session tool made available through the Profify Platform for conducting live sessions between Students and Tutors/Coaches.
· Student — A person seeking tutoring or coaching services through the Profify Platform (also referred to as "you").
· Tutor/Coach — A person providing tutoring or coaching services via the Profify Platform as an independent contractor.
· Sessions — Online tutoring or coaching services provided by a Tutor/Coach to a Student who has purchased a subscription through the Profify Platform.
· Subscription Plan — A recurring fee-based plan that provides a Student with access to the Profify Platform and a specified number of Sessions per billing cycle.
· Payment Method — The credit card, debit card, or other payment instrument you use to pay for your subscription.
All capitalized terms not defined in these Subscription Terms have the meanings given to them in the Profify Terms of Service.
2. SUBSCRIPTION PLANS
2.1 General Terms
To subscribe to Profify's paid services, you must: (a) meet the eligibility criteria set out in the Profify Terms of Service; (b) have reliable internet access; (c) hold a registered Profify account; and (d) provide a current, valid Payment Method.
A range of Subscription Plans is available with varying prices, session volumes, and features. Full details of each plan are available on the Profify pricing and checkout pages. Prices are displayed in Canadian dollars (CAD) and include applicable taxes unless otherwise stated.
2.2 Sessions
Each Subscription Plan includes a specified number of Sessions per billing cycle. Sessions may only be booked through the Profify Platform with a Tutor/Coach of your choice. You can check your remaining Session balance at any time in your account dashboard.
· If a Tutor/Coach misses a confirmed Session, the Session will be credited back to your account balance.
· If you miss a confirmed Session without cancelling in advance in accordance with the applicable cancellation policy, the Session will be marked as used and will not be refunded.
· Sessions have no cash value, are non-transferable, and cannot be gifted, sold, or redeemed for cash. Sessions are valid only within the Profify Platform.
· Sessions expire at the end of each billing cycle unless otherwise stated, and expire immediately upon subscription cancellation or termination.
2.3 Subscribe to a Tutor/Coach
"Subscribe to a Tutor/Coach" is a Subscription Plan that provides a specified number of Sessions per week with a chosen Tutor/Coach. Your Session balance is refilled every 28 days. Unused Sessions at the end of a billing cycle do not roll over unless Profify expressly states otherwise. Pricing depends on the rate set by your chosen Tutor/Coach.
2.4 Subscriptions with a Free Trial
Some Subscription Plans include a free trial period during which you can access paid features at no charge. After the trial period ends, you will be automatically charged the applicable Subscription Fee unless you cancel before the trial expires. See Section 3 for full details.
3. TRIALS AND PROMOTIONS
3.1 Trial Session
Before committing to a Subscription Plan, Profify may offer you a trial Session with a Tutor/Coach of your choice. If the Tutor/Coach does not meet your expectations, or if the trial Session does not take place, you may request either: (a) a free replacement Session with a different Tutor/Coach of your choosing; or (b) a full refund of the trial payment.
You may switch Tutors/Coaches after your trial Session at no extra charge up to two (2) times. If you wish to change Tutors/Coaches a third time, the next Session must be paid for separately.
3.2 Free Trial Period
Profify may offer a Free Trial Period for certain Subscription Plans as indicated on the pricing or checkout page. After the Free Trial Period ends, your subscription will automatically renew and you will be charged the applicable Subscription Fee unless you cancel at least one (1) day before the trial ends.
Important (Canadian Auto-Renewal Disclosure): In accordance with applicable Canadian consumer protection legislation, including the Consumer Protection Act (Ontario), you are being clearly notified that your subscription will automatically renew at the end of the Free Trial Period. You will be charged the then-applicable Subscription Fee using your Payment Method on file unless you cancel before the trial expires.
Free Trial Periods are available to first-time subscribers only. One Free Trial Period per user. Profify reserves the right to terminate accounts found to have obtained a Free Trial Period in violation of these terms.
During the Free Trial Period, you may switch Tutors/Coaches up to two (2) times without triggering the paid subscription, provided the replacement Session is scheduled within the Free Trial Period. A third switch will result in the next Session being charged even within the Free Trial Period.
3.3 Promotions
Profify may offer special promotional plans and discounts from time to time. Promotion eligibility is determined by Profify at its sole discretion. Conditions, including expiry dates and eligibility requirements, will be communicated at the time of sign-up or via email. Profify reserves the right to revoke a promotion if a user is found ineligible.
4. BILLING, RENEWAL & CANCELLATION
4.1 Subscription Fee
Following a trial Session or Free Trial Period (where applicable), you will be charged the applicable Subscription Fee on a recurring basis — monthly (every 28 days), quarterly, or annually (every 364 days) — depending on your chosen plan. All fees are in Canadian dollars (CAD) and include applicable GST/HST and provincial taxes where required.
By subscribing, you authorize Profify to charge your Payment Method at the start of each billing cycle. If your Payment Method fails, Profify will retry for up to 30 days. If payment remains unsuccessful, your access may be suspended until a valid Payment Method is charged.
4.2 Billing Cycle
Your billing date is shown in your account "Settings" page. Your billing date may change if you: upgrade or change your plan mid-cycle; use the Change Renewal Date feature; start your subscription early before a Free Trial ends; or if your subscription start date falls on a day not contained in every month.
4.3 Auto-Renewal
Your subscription will automatically renew at the end of each billing cycle for the same period and at the then-current Subscription Fee, unless you cancel at least one (1) day before your renewal date. You will receive a reminder email before each renewal in accordance with applicable Canadian law.
4.4 Adding Extra Sessions (Top-Ups)
If you exhaust your included Sessions before the end of a billing cycle, you may purchase additional Sessions on an ad-hoc basis ("Top-Up"). You may add up to 8 Sessions per Top-Up, with a maximum of two Top-Ups per billing cycle. Top-Up Sessions expire at the end of the billing cycle in which they are purchased and do not affect or upgrade your Subscription Plan.
4.5 Upgrades and Downgrades
You may upgrade your Subscription Plan at any time. Upgrades take effect immediately, and you will be charged the new rate on a recurring basis. Any remaining Sessions under your previous plan will remain accessible until the next billing date.
Downgrades take effect at the start of the next billing cycle. You can manage your subscription under "Manage your subscription" in your account Settings page. Note: upgrades and downgrades to annual plans may have different terms — see the pricing page for details.
4.6 Payment Methods
You must maintain a valid Payment Method on your account. You authorize Profify to charge any Payment Method associated with your account if your primary method is declined or unavailable. You remain responsible for any uncollected amounts. Some payment providers may charge additional fees (e.g., foreign transaction fees) — check with your provider for details.
4.7 Updating Your Payment Method
You can update your Payment Method at any time in your account "Settings" page. Once updated, you authorize Profify to charge the new Payment Method going forward.
4.8 Changing Your Renewal Date
You may postpone your monthly subscription's renewal date by up to 20 days per billing cycle through the "Manage your subscription" section in Settings. Your Session balance will be refilled every 28 days from the updated renewal date.
4.9 Cancellation
You may cancel your subscription at any time through your account "Settings" page. Cancellations take effect at the end of the current billing cycle. You will retain access to the platform and any scheduled Sessions for the remainder of your paid period. Unused Sessions expire at the end of the billing cycle following cancellation.
Canadian Consumer Right: Under the Consumer Protection Act (Ontario) and equivalent provincial legislation, you have the right to cancel a subscription at any time. Profify will not charge any cancellation penalty for cancellations made in accordance with this section.
4.10 Session Rescheduling and Cancellation
Sessions may be rescheduled or cancelled in accordance with the cancellation policy displayed on the My Sessions page and at the time of booking. You will be asked to provide a reason for cancellation, which may be shared with your Tutor/Coach. Profify reserves the right to deduct the Session from your balance if cancelled outside the permitted timeframe.
4.11 Refund Policy
Except as described below and to the extent permitted by applicable Canadian law, Subscription Fees are non-refundable and no refunds are issued for partial subscription periods or unused Sessions.
a. Monthly Plans: A refund may be issued if no Sessions have been used during the current billing cycle and the payment was made less than 28 days ago.
b. Annual Plans (within 14-day trial): If you cancel within the 14-day trial and have used no Sessions, you are entitled to a full refund. If you have used Sessions, a partial refund proportional to unused Sessions may be issued. Processing fees are non-refundable.
c. Annual Plans (after trial): No refund is issued for cancellations after the 14-day trial period. Your Session balance will continue to be refilled until the end of your subscription term.
Refund requests must be submitted to support@profify.ca. Profify will process eligible refunds within a reasonable timeframe. Nothing in this section limits your rights under applicable Canadian consumer protection legislation.
4.12 Changes to Plans and Pricing
Profify reserves the right to modify Subscription Plans and pricing at any time. You will be notified by email at least 30 days before any price change takes effect. Changes take effect upon your next subscription renewal. If you do not agree, you may cancel before the renewal date.
5. USE OF PROFIFY SERVICES
Your subscription grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Profify Platform during your active subscription period, solely for personal, non-commercial use in accordance with these Subscription Terms and the Profify Terms of Service.
You agree to provide accurate and complete account information and to keep it up to date. Your login credentials are personal and must not be shared. You are responsible for all activity on your account.
You may not reproduce, distribute, sublicense, or create derivative works from any part of the Profify Platform or its content without Profify's prior written consent.
6. SUSPENSION AND TERMINATION
Profify may suspend or terminate your access to the subscription Services at any time if: (a) you breach these Subscription Terms or the Profify Terms of Service; (b) fraudulent, illegal, or abusive activity is suspected; (c) Profify discontinues the relevant Services; or (d) as required by applicable Canadian law.
You may terminate your subscription at any time by cancelling through your account Settings or by contacting support@profify.ca. Upon termination by either party, you will not be entitled to a refund except as expressly provided in Section 4.11.
7. PROFIFY AS AN INTERMEDIARY
In providing subscription Services, Profify acts as a technology intermediary connecting Students with independent Tutors/Coaches. Profify does not provide tutoring or coaching services directly and does not operate as a school or educational institution. Tutors/Coaches are independent contractors, not employees or agents of Profify.
8. PERSONAL DATA
Profify processes your personal data in accordance with its Privacy Policy and in compliance with Canada's PIPEDA and applicable provincial privacy legislation. By subscribing, you consent to the collection and use of your personal data as described in the Privacy Policy.
9. LIABILITY
9.1 Disclaimer
The Profify Platform and subscription Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted access, to the maximum extent permitted by applicable Canadian law.
Profify does not warrant the accuracy of Tutor/Coach credentials or the outcomes of any Sessions. You use the Services at your own risk.
9.2 Limitation of Liability
To the maximum extent permitted by applicable Canadian law, Profify's total liability to you in connection with these Subscription Terms shall not exceed the Subscription Fees you paid to Profify in the three (3) months preceding the event giving rise to the claim. Profify shall not be liable for indirect, incidental, special, consequential, or punitive damages.
9.3 Consumer Protection Rights
Nothing in these Subscription Terms limits or excludes any rights you may have under the Consumer Protection Act (Ontario) or other applicable Canadian consumer protection legislation, which cannot be waived by contract. In the event of any conflict between these Terms and mandatory consumer protection law, applicable law prevails.
10. INDEMNIFICATION
You agree to indemnify and hold harmless Profify Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Subscription Terms; (b) your use of the Services; (c) your violation of any applicable law; or (d) your infringement of any third-party rights.
11. AMENDMENTS
Profify may amend these Subscription Terms at any time by posting a revised version on profify.ca. For material changes, you will be notified by email at least 30 days in advance. Continued use of the Services after the effective date of any amendment constitutes your acceptance of the revised terms. If you do not agree, you may cancel your subscription before the changes take effect.
12. NOTICES
All notices from Profify to you will be delivered by email to the address registered on your account or by posting on profify.ca. All notices from you to Profify must be sent to support@profify.ca or in writing to: Profify Inc., 111 Elizabeth Street, Toronto, ON M5G 1P7, Canada. Electronic notices satisfy any applicable written notice requirements under Canadian law.
13. DISPUTE RESOLUTION
13.1 Informal Resolution
Before initiating any formal proceedings, you and Profify agree to first attempt to resolve any dispute through good faith informal negotiation. Contact Profify at support@profify.ca describing the nature of the dispute and desired resolution. The parties will have sixty (60) days to resolve the matter informally.
13.2 Mediation
If informal negotiation fails, either party may request mediation through a mutually agreed Canadian mediation provider. Costs will be shared equally unless otherwise agreed. Mediation is non-binding unless the parties agree otherwise in writing.
13.3 Courts of Ontario
If the dispute is not resolved through mediation, either party may bring proceedings in the courts of the Province of Ontario, Canada, which shall have exclusive jurisdiction. Nothing in this section prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.
14. GOVERNING LAW
These Subscription Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
15. NON-SOLICITATION
You may not use the Profify Platform to solicit Tutors/Coaches for employment, independent contracting, or any purpose unrelated to the Services without Profify's prior written consent. You may not collect contact information from other users for unauthorized purposes.
16. SEVERABILITY
If any provision of these Subscription Terms is found to be invalid, void, or unenforceable under applicable law, that provision shall be deemed severable and shall not affect the validity of the remaining provisions. The parties shall endeavour to replace any invalid provision with one that best reflects the original intent.
17. ENTIRE AGREEMENT
These Subscription Terms, together with the Profify Terms of Service, Privacy Policy, Cookie Policy, User Code of Conduct, and Refund and Payment Policy, constitute the entire agreement between you and Profify with respect to your subscription, and supersede all prior agreements and representations.
